This Non-Disclosure Agreement ("Agreement") is entered into as of [23.04.2024] by and between Mostra Group,  ("Disclosing Party"), and the undersigned recipient ("Receiving Party").

Confidential Information:

For purposes of this Agreement, "Confidential Information" includes all written, electronic, or oral information that the Receiving Party receives from the Disclosing Party related to the startup project, which is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This includes, but is not limited to, business strategies, trade secrets, technological developments, operations, customer lists, financial information, and proprietary information.

Obligations of Receiving Party:

The Receiving Party agrees to:

(i) maintain the confidentiality of the Confidential Information;

(ii) not disclose the Confidential Information to any third parties without the prior written consent of the Disclosing Party;

(iii) use the Confidential Information solely to evaluate or engage in discussions regarding a potential business relationship with the Disclosing Party;

(iv) return or destroy all copies of the Confidential Information upon request or upon termination of discussions.

Exclusions from Confidential Information:

Confidential Information does not include information that:

(a) is or becomes publicly known through no breach of this Agreement by the Receiving Party;

(b) is received from a third party without breach of any obligation of confidentiality;

(c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information;

(d) is required to be disclosed by law.

Term:

This Agreement shall commence on the date first above written and shall continue in effect until the Confidential Information no longer qualifies as confidential or until terminated by either party with thirty (30) days written notice to the other party.

Miscellaneous:

This Agreement represents the entire agreement between the parties regarding the subject matter hereof. No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
